Raymond S. McGaugh serves as the Executive Chairman of Relevant Healthcare. Relevant Healthcare is short for Relevant Healthcare Cost Containment which is the trade name of Contain Holdings LLC, an Illinois limited liability company (see Relevant Healthcare’s website www.relevanthealthcare.com) and is located at 233 South Wacker Drive, Suite 8400, Chicago, Illinois 60606.
Mr. McGaugh is a licensed corporate, municipal and real estate attorney with over thirty years of experience and is the Managing Member of the McGaugh Law Group, LLC. Mr. McGaugh has worked extensively in the securities field and, thus, holds several securities licenses, and is a Registered Investment Advisor. Because of Mr. McGaugh’s professional experience, he provides the organization with several relationships within the financial, government and municipality markets. Prior to becoming a lawyer and after graduation from Georgia State University’s Graduate College of Business with a Masters of Health Administration, Mr. McGaugh served in professional capacities with various health care organizations, most notably the Blue Cross and Blue Shield Associations.
Mr. McGaugh has extensive experience in the areas of banking, bank and stand-alone community development entities, construction lending, corporate finance, municipal finance, private equity, railcar finance, real estate, real estate finance and start up entities. Mr. McGaugh has worked on both tax- exempt and taxable financings involving housing bonds, empowerment zone bonds, Native American bonds, mortgage revenue bonds, project finance, industrial development bonds and tax increment financings. Mr. McGaugh has also provided advice and counsel to issuers of letters of direct pay and standby credit, surety bonds, and other liquidity and credit enhancement facilities in connection with both tax-exempt and taxable financings. In addition, Mr. McGaugh provides general business advice to corporations, municipalities and business organizations.
Mr. McGaugh provides a wide range of business planning and counseling assistance to financial institutions, businesses and individuals. He assists both business management and investors at all critical planning and structuring stages of transactions. Services provided include assessing financial and legal feasibility, identification of business risks, advising clients of their legal implications, and otherwise evaluating these transactions for his clients. Mr. McGaugh's services include:
- structuring organizational documents,
- assisting in structuring financial reporting documents,
- assisting in selection of software and software updates,
- negotiating equity arrangements, private placements and/or loan documents;
- establishing joint ventures;
- documenting securitized and municipal financings;
- structuring sale/lease back transactions; and
- handling convertible and participatory mortgage transactions.
In addition, Mr. McGaugh has represented clients with respect to enforcement of various credit and security agreements, enforcement of limited partnership investor notes, general representation of clients in the area of lender liability claims, small issue private placements, and trustee and obligor liability under conduit financing vehicles related to the issuance of tax-exempt municipal bonds.
In the mid-to-late 1990s, Mr. McGaugh was the Vice-President of Finance and General Counsel of The Edgar Lomax Company, an SEC registered investment advisory and currently serves on the board of directors of The Edgar Lomax Company. In addition to serving on the board of The Edgar Lomax Company, Mr. McGaugh also serves on the board of directors of the Chicago Community Loan Fund, a nonprofit loan fund that provides flexible financing to nonprofits and developers engaged in community development projects throughout metropolitan Chicago. Mr. McGaugh is a co-founder of Andes Capital Group, LLC, an Illinois Limited Liability Company, which is a registered broker-dealer. Finally, Mr. McGaugh serves as a member of the Creighton University School of Law Advisory Board. Mr. McGaugh formerly served on the board of directors of, and the audit committee of First Personal Bank, an Illinois state bank and the Board of Trustees of the Profit Lomax Value Fund, a mutual fund based in Chevy Chase, Maryland. Also, Mr. McGaugh is a former President of the Chicago Mortgage Attorneys Association, a former Vice-President and Director of the Nebraska Legal Aid Society Board of Directors and served in the past as a Director of the Creighton University National Alumni Board.
Mr. McGaugh is licensed to practice law in Illinois and Nebraska and holds several securities licenses in connection with his position as Executive Vice President of the Andes Capital Group, LLC, including:

Mr. McGaugh is also a former member of the Roster of Neutrals of the NASD Regulation’s, Inc. Office of Dispute Resolution. Mr. McGaugh has served as the pro-bono counsel to the Illinois Senate Committee on Pensions and Investments and has also served as the pro-bono counsel to the Illinois Senate Select Committee on Pensions and Investments.
Mr. McGaugh graduated cum laude from Creighton University School of Law in 1984 where he was selected as a member of the Alpha Sigma Nu, the Jesuit Honor Society. He received a Master’s Degree in Health Administration in 1978 from Georgia State University’s College of Business where he was an Equitable Life Fellow. Mr. McGaugh completed his undergraduate studies at Creighton University in 1976, earning a Bachelor’s Degree in Psychology.
